Agreement to Terms

By accessing and using Sportily (the trading name of oglofus) ("the Service", "the Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service. These terms apply to all users of the platform, including analysts, researchers, sports enthusiasts, and organizations.

Description of Service

oglofus (trading as Sportily) provides comprehensive sports analysis, data insights, statistical research, and analytical tools. Our platform offers various features including data visualization, performance analytics, research reports, and sports intelligence to help users understand and analyze sports data and trends.

We reserve the right to modify, suspend, or discontinue the service (or any part or content thereof) at any time with reasonable notice to users.

User Responsibilities and Acceptable Use

By using our service, you agree to:

Limitation of Liability

In no event shall oglofus (trading as Sportily), its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service, even if we have been advised of the possibility of such damages.

Professional Use and Responsibility

If you use our platform for professional purposes, you acknowledge that:

Refunds: All sales are final and subject to our Refund Policy, which is hereby incorporated by reference into these Terms and forms an integral part of this agreement. By making any purchase, you acknowledge that you have read, understood, and agree to be bound by our Refund Policy.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms. You may also terminate your account at any time by contacting us or using the account closure features in your settings.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Governing Law and Jurisdiction

These Terms shall be interpreted and governed by applicable laws, without regard to conflict of law provisions. Any disputes arising from these terms or your use of the service will be resolved through binding arbitration or in the courts of competent jurisdiction.

Incorporation of Additional Policies

The following policies are hereby incorporated by reference into these Terms and Conditions and form an integral part of your agreement with us:

Any violation of these incorporated policies constitutes a violation of these Terms and Conditions. These policies may be updated from time to time, and continued use of our services after such updates constitutes acceptance of the revised policies.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede any prior agreements.

Affiliate Program Terms

If you participate in our affiliate program, the following additional terms apply:

Eligibility and Application

To become an affiliate, you must apply through our official affiliate application process and be approved by us. We reserve the right to accept or reject any affiliate application at our sole discretion. Affiliates must maintain active accounts and comply with all terms of this agreement and applicable third-party payment processor terms.

Payment Processing and Stripe Connect Terms

We use Stripe Connect to process affiliate commission payments. By participating in our affiliate program, you acknowledge that:

• You will be required to create a Stripe Connected Account to receive commission payments
• Your use of the Stripe payment system is governed by the Stripe Connected Account Agreement
• You must comply with all applicable Stripe terms, policies, and requirements, including their prohibited and restricted business policies
• We are not responsible for any issues, disputes, or problems that may arise with your Stripe account
• Stripe may independently verify your identity and business information as required by their compliance procedures

Commission Structure and Payments

Affiliate percentage is not locked to the individual and is applicable for all affiliates at a given time. Users already subscribed using a specific percentage will be locked in to that percentage unless they cancel and resubscribe, at which time the new current percentage will be valid. We retain the right to change the percentage at any time we see fit without notice, and it is the affiliate's responsibility to keep track of current percentages.

• Commissions are calculated based on net revenue after refunds and chargebacks
• Payment thresholds and schedules are determined by us and may change
• Payments are processed through Stripe Connect and are subject to Stripe's payment processing timelines and policies
• We reserve the right to withhold payments pending investigation of suspicious activity
• Affiliates are responsible for their own tax obligations related to commission payments
• Commission payments may be delayed or suspended if your Stripe Connected Account is restricted, suspended, or terminated

Compliance and Legal Requirements

All affiliates must comply with applicable laws and regulations, including:

• All requirements set forth in the Stripe Connected Account Agreement and related Stripe policies
• Anti-money laundering (AML) and know-your-customer (KYC) requirements
• Tax reporting and compliance obligations in your jurisdiction
• Consumer protection and advertising standards laws
• Data protection and privacy regulations
• Any licensing or registration requirements for your business activities

Promotional Guidelines and Compliance

Affiliates must adhere to the following promotional standards:

• Use only approved marketing materials and messaging
• Comply with all applicable advertising and consumer protection laws
• Accurately represent our services without making false or misleading claims
• Include proper disclosures as required by law (e.g., FTC guidelines)
• Maintain professional standards in all promotional activities
• Ensure all promotional activities comply with Stripe's acceptable use policies and prohibited business practices

Prohibited Activities

Affiliates are strictly prohibited from:

• Bidding on our brand names, trademarks, or variations in paid search
• Using spam, unsolicited emails, or deceptive marketing practices
• Creating fake accounts or engaging in fraudulent referral activities
• Promoting our services through adult, illegal, or offensive content
• Misrepresenting their relationship with us or using unauthorized branding
• Engaging in any activity that could damage our reputation or brand
• Participating in any activities prohibited by Stripe's Prohibited and Restricted Business list
• Violating any terms of the Stripe Connected Account Agreement

Account Suspension and Termination

We may suspend or terminate your affiliate account if:

• You violate these terms or any applicable laws
• Your Stripe Connected Account is suspended, restricted, or terminated
• You fail to maintain compliance with Stripe's requirements
• You engage in fraudulent or suspicious activity
• You provide false or misleading information

Tracking and Attribution

All referrals must be properly tracked through our official affiliate system. We use industry-standard tracking methods, but technical issues may occasionally affect attribution. Disputes regarding tracking must be reported within 30 days, and our tracking system's records will be considered final.

Cookie-Based Tracking: Our platform uses cookies to track affiliate referrals and general referrals. Affiliate cookies are set for a duration of 30 days from the time of initial visit, while general referral cookies are set for 30 minutes. These tracking cookies are mutually exclusive - only one type can be active at any given time. When a new affiliate referral is initiated, any existing referral cookie is automatically removed and replaced with the affiliate cookie. Conversely, when a general referral is initiated, any existing affiliate cookie is automatically removed and replaced with the referral cookie. This ensures accurate attribution and prevents conflicts between different referral sources.

Termination and Account Closure

Either party may terminate the affiliate relationship at any time with or without cause. Upon termination:

• Affiliates must cease all promotional activities immediately
• Outstanding commissions will be paid according to our standard schedule
• Access to affiliate materials and tracking systems will be revoked
• Your Stripe Connected Account relationship with us will be terminated
• Confidentiality obligations will continue indefinitely

Note that termination of your affiliate relationship with us does not automatically terminate your Stripe Connected Account. You should refer to the Stripe Connected Account Agreement for information about account closure procedures with Stripe.

Data Protection and Privacy

As part of the affiliate program, certain customer and transaction data may be shared with you through our systems and Stripe Connect. You agree to:

• Handle all customer data in accordance with applicable privacy laws
• Comply with Stripe's data processing and privacy requirements
• Maintain appropriate security measures to protect customer information
• Use customer data solely for the purposes of the affiliate program
• Not share or sell customer data to third parties without authorization

Modifications and Updates

We reserve the right to modify these affiliate terms, commission structures, or program requirements at any time. Material changes will be communicated to active affiliates, and continued participation constitutes acceptance of the modified terms. Changes to Stripe's terms and conditions may also affect your participation in our affiliate program, and you are responsible for staying current with Stripe's requirements.
